    These are Madgietech Limited's general website and service terms.

    Where a client has entered into a signed proposal, order form, service agreement, Data Processing Agreement or other written agreement with Madgietech, that agreement will take precedence over these general terms to the extent of any conflict.

    1. Who We Are

    Madgietech Limited ("Madgietech", "we", "us" or "our") is a company registered in England and Wales under company number 17305097.

    2. Our Services

    Madgietech provides business technology, automation, artificial intelligence and digital services.

    Depending on the agreed engagement, these may include:

    • Front of House™;
    • AI-assisted telephone and enquiry handling;
    • appointment booking and follow-up systems;
    • customer journey and business automation;
    • CRM-related systems and integrations;
    • websites and digital presence services;
    • growth and reputation systems;
    • learning or member hubs;
    • connected business systems;
    • consultancy, implementation and configuration; and
    • other related technology and automation services agreed with a client.

    The precise scope, functionality, deliverables, implementation arrangements, service levels, fees and timescales for a client engagement will be set out in the applicable proposal, order form, service agreement or other written agreement.

    Information on our website describing features or services is general information and does not itself create a contractual commitment to provide every feature described.

    3. Front of House™ and AI Services

    Front of House™ and other Madgietech services may use artificial intelligence and automation to support routine communications and administrative processes.

    Depending on configuration, this may include:

    • answering or handling telephone enquiries;
    • responding to routine questions;
    • appointment booking;
    • enquiry routing;
    • reminders;
    • follow-up communications;
    • transcripts and summaries;
    • CRM updates; and
    • other administrative processes.

    The precise functionality depends on the client's configuration and the services purchased.

    AI and automation are intended to support people and business processes. They are not intended to replace professional judgement where professional judgement is required.

    Unless expressly agreed in writing and appropriately configured for that purpose, Madgietech services are not intended to provide:

    • medical diagnosis or treatment recommendations;
    • emergency medical advice;
    • legal advice;
    • regulated financial advice;
    • emergency decision-making; or
    • other regulated professional judgement.

    Clients remain responsible for determining where human review, professional judgement, escalation or intervention is required within their organisation.

    4. Implementation and Client Cooperation

    Implementation timescales depend on the agreed scope and on the client providing information, approvals, access, credentials, content and other dependencies reasonably required by Madgietech.

    The client is responsible for providing requested materials and approvals in a timely manner.

    Delays caused by missing information, delayed approvals, third-party providers, integration issues or circumstances outside Madgietech's reasonable control may affect delivery dates.

    Any estimated implementation or launch date is subject to the applicable client agreement and required client cooperation.

    5. Fees and Payment

    Fees, setup charges, recurring charges, payment dates, minimum terms and notice periods will be specified in the applicable proposal, order form or service agreement.

    Unless expressly stated otherwise, fees are exclusive of VAT where VAT is chargeable.

    Clients must pay valid invoices in accordance with the payment terms stated in the applicable agreement or invoice.

    Where an undisputed payment becomes overdue, Madgietech may suspend affected services after reasonable notice, subject to the applicable client agreement and applicable law.

    Suspension does not remove the client's obligation to pay amounts properly due.

    6. Client Responsibilities

    Clients are responsible for:

    • providing accurate, complete and lawful information, content and instructions;
    • ensuring they have appropriate rights to provide data, content, branding and other materials to Madgietech;
    • obtaining and maintaining any notices, permissions, licences or consents required for their use of the services;
    • reviewing and approving material customer-facing automated messaging, scripts, workflows or information where approval is requested;
    • ensuring their own use of the services complies with applicable laws, regulations and professional obligations;
    • maintaining appropriate human oversight where professional judgement, safety or escalation is required;
    • keeping account credentials and access details secure;
    • promptly informing Madgietech of relevant changes that may affect the operation or compliance of the service; and
    • not using the services for unlawful, misleading, harmful or unauthorised purposes.

    7. Data Protection

    Each party is responsible for complying with applicable data protection law in relation to personal data for which it acts as controller.

    Where Madgietech processes personal data on a client's behalf and on that client's instructions, the client will normally act as data controller and Madgietech will act as data processor.

    Where required, such processing will be governed by an applicable Data Processing Agreement or equivalent contractual provisions.

    Clients are responsible for ensuring that they have an appropriate lawful basis, privacy information and any required consent for personal data they instruct Madgietech systems to process.

    8. Intellectual Property

    Each party retains ownership of intellectual property it owned before the engagement.

    Client-owned data, trademarks, logos, content and brand assets remain the property of the client or their respective owner.

    Unless otherwise expressly agreed in writing, Madgietech retains ownership of its:

    • pre-existing materials;
    • methods;
    • know-how;
    • templates;
    • reusable workflows;
    • system architecture;
    • automation structures;
    • configurations;
    • prompts;
    • processes;
    • documentation; and
    • other reusable intellectual property.

    Rights in bespoke deliverables and any licence granted to a client will be determined by the applicable proposal or service agreement.

    Nothing in these general website terms overrides expressly agreed intellectual property provisions in a signed client agreement.

    9. Third-Party Platforms and Integrations

    Madgietech services may use or depend upon third-party technology.

    This may include CRM platforms, telecommunications providers, hosting providers, APIs, artificial intelligence providers, messaging services, calendar systems, email services and other software or infrastructure.

    Third-party services may change their:

    • functionality;
    • availability;
    • pricing;
    • APIs;
    • policies;
    • terms; or
    • technical requirements.

    These matters may be outside Madgietech's reasonable control.

    Madgietech cannot guarantee the continuous availability or continued compatibility of a third-party service.

    Any requested integration is subject to technical compatibility, appropriate permissions and continued support by the relevant third-party provider.

    Madgietech does not guarantee that every requested integration will be possible unless expressly confirmed in writing.

    10. Service Availability and Changes

    Madgietech will use reasonable care and skill in providing its services.

    However, uninterrupted or error-free availability cannot be guaranteed, particularly where services depend upon:

    • internet connectivity;
    • telecommunications networks;
    • third-party platforms;
    • APIs;
    • artificial intelligence providers;
    • hosting infrastructure; or
    • other systems outside Madgietech's reasonable control.

    Madgietech may make reasonable technical or operational changes where necessary to maintain, secure, update or improve services.

    Where practicable, material changes affecting agreed core functionality will be communicated appropriately.

    11. Website Information, Demonstrations and Results

    Content on the Madgietech website is provided for general information about Madgietech and its services.

    Demonstrations, examples, case studies, scenarios and descriptions illustrate possible functionality or use cases.

    They do not guarantee that every feature will be included in every client implementation.

    Unless expressly agreed in writing, Madgietech does not guarantee particular:

    • revenue increases;
    • lead volumes;
    • conversion rates;
    • cost savings;
    • search engine rankings;
    • review scores;
    • appointment volumes;
    • response rates; or
    • other commercial outcomes.

    Results will vary depending on factors including the client's business, market, implementation, customer demand, data, staff, offer and use of the system.

    12. Limitation of Liability

    The liability arrangements applying to a paid client engagement will be governed primarily by the applicable signed proposal, order form or service agreement.

    To the fullest extent permitted by law, Madgietech will not be liable under these general website terms for indirect or consequential losses arising from use of this website or from circumstances outside Madgietech's reasonable control.

    Nothing in these terms excludes or limits liability where it would be unlawful to do so.

    This includes liability for:

    • death or personal injury caused by negligence;
    • fraud or fraudulent misrepresentation; or
    • any other liability that cannot lawfully be excluded or limited.

    13. Suspension and Termination

    Cancellation, suspension and termination rights relating to paid services will be governed by the applicable proposal, order form or service agreement.

    Subject to those terms, Madgietech may suspend or terminate affected services where reasonably necessary because of:

    • material breach;
    • unlawful or prohibited use;
    • a material security risk;
    • misuse of the service; or
    • non-payment of undisputed amounts properly due.

    Where reasonably practicable, Madgietech will provide appropriate notice before suspension or termination.

    14. Acceptable Use

    You must not use the Madgietech website or services to:

    • break applicable law;
    • infringe intellectual property or other third-party rights;
    • transmit malicious software or harmful code;
    • gain or attempt to gain unauthorised access to systems or data;
    • send unlawful communications;
    • impersonate another person or organisation without authority;
    • deliberately provide false or misleading information;
    • use AI or automation in a way that unlawfully removes required human judgement or safeguards; or
    • use the services in a manner reasonably likely to damage Madgietech, its systems, its providers or other users.

    Madgietech may take reasonable action to protect its systems and services from misuse or security threats.

    15. Website Links and Third-Party Content

    The Madgietech website may contain links to third-party websites, platforms or services.

    Madgietech does not control third-party websites and is not responsible for their content, availability, security, privacy practices or terms.

    A link to a third-party service does not necessarily constitute an endorsement.

    16. Changes to These Terms

    Madgietech may update these general website terms from time to time to reflect changes to its services, technology, business or legal obligations.

    The "Last updated" date at the top of this page identifies the current version.

    Material contractual changes affecting an existing paid client will be dealt with in accordance with the applicable client agreement rather than solely by changing these website terms.

    17. Severability

    If any provision of these terms is found to be invalid, unlawful or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

    18. No Waiver

    If Madgietech does not immediately enforce a right or provision under these terms, this does not mean that the right or provision has been waived.

    19. Governing Law and Jurisdiction

    These terms and any non-contractual obligations arising from them are governed by the laws of England and Wales.

    Subject to any mandatory legal rights that apply, the courts of England and Wales will have jurisdiction over disputes relating to these terms.
